The infrastructure private equity investment team of Swiss Life Asset Managers is managing a €3 billion infrastructure investment program on behalf of Swiss Life and external clients. The mandate is focused on direct investments in infrastructure assets in OECD countries.
The highly dynamic and international team is based in Zurich and consists of 14 investment professionals with extensive investment experience in infrastructure and private equity. The team already has a full time transaction lawyer and is looking to strengthen its in-house capabilities by hiring a part-time transaction lawyer with the following responsibilities:
  • A chance to be part of a highly motivated and forward thinking investment team whose team spirit and specific expertise guarantee an exciting global and evolving working environment. You will be involved in all legal aspects of investment transactions
  • Reviewing, drafting and negotiating legal documentation in relation to the entire transaction process for cross border private equity transactions, including share purchase and limited partnership structures. As well as syndications and exits.
  • Advising on governance frameworks and reviewing, drafting and negotiating legal documentation with consortium partners, including bid conduct and shareholders agreement.
  • Reviewing and commenting on debt financing documents (both acquisition and project finance).
  • Responsible for legal risk management including coordinating the work of external legal advisors
  • Taking responsibility for legal Due Diligence workstream in transactions
  • Ongoing support to the team with respect to transaction structuring, NDAs, engagement letters, release letters, term sheets, offer letters, investment memoranda, etc.
  • Ongoing support in relation to asset management, including shareholder agreement issues and add-on investments
  • University degree in law, LLM is a plus
  • Significant relevant experience (4-6 years PQE) as corporate/M&A lawyer with a top tier law firm or reputable financial services institution, preferably in the infrastructure/energy sector
  • Legal and business judgement with integrity and highest ethical standards
  • Knowledge of debt financing is a plus
  • Knowledge of commercial contracts (PPAs, Concession Agreements, service agreements) is a plus
  • Teamplayer with entrepreneurial and solution-oriented mindset
  • High degree of flexibility
  • Initiative and comfortable with change and pressure
  • Ability to handle multiple tasks at the same time
  • Strong negotiation skills
  • Excellent writing and communication skills in English, German language skills are a plus
