Group Legal Counsel
As the Global Legal Counsel you will act as a key partner to the Group General Counsel, Chief Compliance Officer, and Company Secretary. In this pivotal role, you will manage and take ownership of group corporate matters, regulatory and governance topics. Additionally, you will oversee corporate secretarial duties and provide reporting on the company's corporate responsibility and ESG performance.
Our client is a leading provider of packaging systems, with headquarters located in the north of Switzerland. They have an international presence and listed on the Swiss Exchange.
Your responsibilities:
- Provide legal advice and guidance to the company's management and other departments on corporate governance and other legal matters
- Draft and review transactional documents, and occasionally create supplier contract templates and general terms & conditions
- Develop a corporate governance framework for the company’s subsidiaries, ensure corporate housekeeping is maintained and monitor regulatory and legislative developments for the company
- Assist in the preparation, coordination and management of board, committee and shareholder meetings, distribute meeting notices, agendas, and supporting materials to board members and other relevant parties and attend and document minutes of these meetings
- Compile group-level litigation reports with input from the regional team, update regulatory auditing for the risk committee, and support report preparation for the Board of Directors
- Oversee and ensure compliance with corporate governance standards and regulations, including the preparation and submission of required reports to the Board of Directors and relevant regulatory authorities
- Collaborate cross-functionally on corporate responsibility and ESG reporting and initiatives at both the Swiss and global levels
Your Qualifications:
- You have a Master’s in Law from Switzerland, with preferably an additional LLM
- You passed the bar in Switzerland
- You have 5+ years of experience both from law firm and in-house roles
- You are fluent in German and English
- You have worked in a corporate M&A department and experience in competition law is an advantage
- You are hands-on, proactive and take ownership of different topics
- You enjoy working on a broad range of topics in a global organization
- You are adaptable and a quick learner
- You are able to navigate through complex matrix structures
